A guide to resources for finding information about mergers and acquisitions.
WRDS provides access to selected databases in the fields of finance, accounting, economics, management, marketing, and public policy. To use, UK faculty and graduate students must request a WRDS account, available on the front page of the WRDS site. Includes access to Compustat, CRSP, ExecuComp, and Eventus.
SEC Filings and Forms. The Electronic Data Gathering, Analysis, and Retrieval system performs automated collection, validation, indexing, acceptance, and forwarding of submissions by companies and others who are required by law to file forms with the U.S. Securities and Exchange Commission (SEC). Terms of specific mergers or acquisitions must be disclosed in the company's 8-K report to the SEC. (8-K reports must be filed within four days of the triggering event)
Terms can also be included as exhibits to the the company's 10-K or 10-Q reports.
If the merger or acquisition requires a vote by shareholders, the agreement will be available in the proxy document, Schedule 14A.
